Terms of Use

These Terms of Use (“Terms”) govern your use of the Zeki Smart Accountant (“Zeki” or the “Service”) web app and the getzeki.xyz website. Please read them carefully before using Zeki.

Parties and acceptance

Zeki is provided by Nefarius Apps Bilgi Teknolojileri Limited Şirketi (“Nefarius” or “we”). Address: Fatih Sultan Mehmet Mah. Balkan Cad. Meydan İstanbul AVM No:62A 34771 Ümraniye/İstanbul. Email: [email protected].

By creating an account or using Zeki, you accept these Terms. If you use Zeki on behalf of a company or business, you confirm that you are authorised to bind it to these Terms; in that case “you” also includes that business.

How we process your personal data is explained in the Privacy Notice (KVKK Information Notice).

The Service

Zeki is a web app that helps freelancers, sole proprietors and small company owners track their personal and business income and expenses in “wallets” and see estimated VAT and income-tax figures for each wallet.

Zeki is not an accounting, bookkeeping or tax advisory service. Zeki does not file returns for you, issue e-Fatura or any other e-document, connect to your bank accounts or process payments.

Beta period

Zeki is currently in beta. During the beta, features may change, be added or be removed, and there may be bugs and interruptions.

We recommend keeping the original copies of your important records and documents in your own systems. Zeki does not replace the books and documents you are legally required to keep.

Eligibility and your account

To use Zeki you must be at least 18 years old and have full legal capacity.

You must give accurate information when you sign up and keep it up to date. You are responsible for keeping your password confidential and not sharing it with others.

If you notice unauthorised use of your account, tell us immediately at [email protected]. You are responsible for actions taken through your account, except where you are not at fault.

Acceptable use

When using Zeki, you agree not to:

  • Use the Service for an unlawful purpose or in a way that infringes others’ rights.
  • Try to gain unauthorised access to another user’s account or to our systems, bypass security measures or test them without permission.
  • Send automated requests that overload the Service, scrape data or disrupt how the Service works.
  • Copy, modify, reverse engineer or resell the software, except as the law allows.
  • Upload malicious code or enter third-party data for which you have no legal basis.

Your content and its accuracy

The wallets, accounts, income and expense entries, notes and contact records you enter in Zeki (“Your Content”) belong to you.

You are responsible for the accuracy, completeness and lawfulness of Your Content. All totals and estimates in Zeki are calculated from the data you enter and the rates you choose.

So that we can provide the Service, you allow us, on a non-exclusive basis and only for this purpose, to store, process and display Your Content to you. We do not sell Your Content or use it for marketing.

Third-party data (contact records)

For the contact records you enter about your customers and suppliers, you are the data controller under KVKK; Nefarius is the data processor for this data.

Before entering this data in Zeki, you are responsible for having a valid legal basis under KVKK and for informing the people concerned under KVKK Art. 10. Enter only the data you need; do not enter special categories of personal data (such as health information).

We process this data only to provide the Service and on your instructions; we take appropriate security measures under KVKK Art. 12; we do not share it with anyone other than the hosting and network providers named in the Privacy Notice, except where the law requires; and we delete it when your account is deleted. We put in place the safeguards in KVKK Art. 9 for transfers abroad. If we learn of a security breach affecting this data, we will tell you without undue delay.

Tax estimates are not advice

The VAT and income-tax figures in Zeki are estimates based on the data and rates you enter. We take reasonable care that the calculations work correctly, but these figures are not a tax return, an official calculation or a binding tax assessment.

Nothing in Zeki is tax, legal, accounting or financial advice. Estimates may not reflect exemptions, deductions, changes in the law or every detail of your situation.

We recommend confirming your figures with a licensed accountant (mali müşavir) before filing a return, making a payment or taking a decision. You remain responsible for meeting your tax obligations correctly and on time.

Availability and changes to the Service

We aim to provide Zeki without interruptions or errors, but we cannot guarantee this. The Service may be temporarily unavailable because of maintenance, updates, security measures, failures at our service providers or force majeure.

We may change features to improve the Service. If we remove a core feature, we will announce it reasonably in advance.

Fees

The only plan currently announced for Zeki costs USD 49.99 per month. Zeki is free during the beta, and no payment is taken.

Before any paid period begins, we will announce the paid terms, including price, taxes, payment and billing terms and, if you are a consumer, your right of withdrawal, at least 30 days in advance by email and in-app notice.

Nothing will be charged unless you actively choose and confirm a paid plan yourself. If you do not want to move to a paid plan, you can close your account free of charge.

Suspension and termination

You can close your account at any time. As there is no in-app delete button yet, simply email [email protected] from the email address registered to your account. When your account is deleted, your profile, wallets, entries and contact records are permanently deleted; security logs are kept, with the link to your user removed, for the period set out in the Privacy Notice.

We may suspend or close your account if you seriously or repeatedly breach these Terms, put the security of the Service or other users at risk, or where the law requires. Where circumstances allow, we will tell you in advance and give our reasons, and give you a reasonable time to fix the problem.

If we shut down the Service entirely, we will give at least 30 days’ notice so that you can save the information you need.

Intellectual property

All intellectual and industrial property rights in Zeki’s software, design, name, logo and content belong to Nefarius or its licensors. These Terms give you a personal, non-exclusive and non-transferable right to use Zeki only for your own personal or business records.

We may use suggestions and feedback you send us to improve the Service, without any obligation to you.

Liability

Nefarius is always liable for damage caused by its intent or gross negligence; under Article 115 of the Turkish Code of Obligations, this liability cannot be limited or excluded. Your rights under mandatory law, in particular Consumer Protection Law No. 6502, are reserved.

Subject to these mandatory rules, our liability for slight negligence is limited to foreseeable direct damage. Accordingly, we are not liable for decisions taken in reliance on estimates, for tax penalties, late-payment interest or surcharges resulting from incorrect or incomplete data you entered, for loss of profit or for indirect damage.

If you use Zeki as a merchant or business, our total liability for slight negligence is limited to the fees you paid us in the 12 months before the event that caused the damage.

You are liable, in proportion to your fault, for third-party claims made against us because you breached these Terms or failed to meet your obligations regarding contact records.

Governing law and disputes

These Terms are governed by the laws of the Republic of Turkey.

If you are a consumer, under Law No. 6502 you may apply to the consumer arbitration committee at your place of residence or where the transaction took place, within the monetary limits set each year, and, for disputes above those limits, to the consumer courts, subject to the mandatory mediation rules provided by law.

If you use Zeki as a merchant, the courts and enforcement offices of Istanbul (Çağlayan) have jurisdiction over disputes, subject to the mandatory mediation rules provided by law.

Changes to these Terms, language and contact

We may update these Terms to reflect changes in the Service or the law. We will announce significant changes that are to your disadvantage by email or in-app notice at least 30 days before they take effect. If you do not accept the changes, you can close your account free of charge before the effective date; continuing to use Zeki after that date means you accept the new Terms. Terms relating to fees apply only with your explicit consent.

These Terms are provided in Turkish and English. If the two versions differ, the Turkish version prevails.
